By accessing or using the Lot Ranger Vehicle Dealer Management System (hereinafter referred to as "Lot Ranger" or "the System"), operated by Lot Ranger Inc. of Peterborough, Ontario, you agree to be bound by these Terms of Service ("Terms"). The Lot Ranger software is owned by Electric Ink Innovations Inc. and licensed to Lot Ranger Inc. If you disagree with any part of these Terms, you may not use our System.
Lot Ranger is a comprehensive vehicle dealer management system designed to streamline inventory management, sales processes, and customer relationships for automotive dealerships. The Service includes web-based management tools and SMS/MMS messaging features for dealer-customer communication.
3.1. To use Lot Ranger, you must register for an account by providing accurate and complete information.
3.2. You are responsible for maintaining the confidentiality of your account and password.
3.3. You agree to notify us immediately of any unauthorized use of your account.
4.1. You agree to use Lot Ranger only for lawful purposes and in accordance with these Terms.
4.2. You may not use the System in any way that could damage, disable, overburden, or impair our servers or networks.
4.3. You may not attempt to gain unauthorized access to any part of the System, other accounts, computer systems, or networks connected to our System.
5.1. We are committed to protecting your privacy and the security of your data. Our data practices are outlined in our Privacy Policy, which is incorporated into these Terms by reference.
5.2. You are responsible for ensuring that you have the right to share any data you input into the System, including customer information.
6.1. The System, including its original content, features, and functionality, is owned by Electric Ink Innovations Inc., licensed to Lot Ranger Inc., and protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
6.2. You may not copy, modify, create derivative works of, publicly display, publicly perform, republish, or transmit any of the material obtained through the System without our prior written consent.
7.1. The core System is billed by the vehicle, by the week, plus a per-vehicle add fee, with optional power tools billed monthly, at the rates published on LotRanger.com. You agree to pay the fees for the services you use.
7.2. Fees already billed are non-refundable. There are no long-term contracts - billing follows your active inventory, and you may stop using the System at any time.
7.3. We reserve the right to change our fees upon reasonable notice.
8.1. We may suspend or terminate your account and access to the System for non-payment or material breach of these Terms, with notice where practical.
8.2. Upon termination, your right to use the System will cease. Your dealership's data remains available for export as described in our User Agreement.
9.1. Lot Ranger and its suppliers shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of or inability to use the System.
9.2. In no event shall our total liability to you for all damages exceed the amount you paid to us over the 3 months prior to the cause of action.
10.1. The System is provided "as is" and "as available" without any warranties of any kind, either express or implied.
10.2. We do not warrant that the System will be uninterrupted or error-free.
Electric Ink Innovations Inc., operating as "Lot Ranger," offers the following messaging services:
11.1. By providing your mobile phone number and opting in, you consent to receive SMS and MMS messages from your dealership through the Lot Ranger platform. Consent to receive messages is not a condition of purchase.
11.2. Message frequency varies. For 2FA messages, one message per request.
11.3. Message and data rates may apply.
11.4. Text HELP for help. Text STOP to opt out and stop receiving messages at any time.
11.5. When you text STOP, you will receive a confirmation message and will no longer receive any further messages from this program.
11.6. When you text HELP, you will receive support contact information.
11.7. Carriers are not liable for any delays or undelivered messages.
These Terms shall be governed by and construed in accordance with the laws of Ontario, Canada, without regard to its conflict of law provisions.
We reserve the right to modify or replace these Terms at any time. We will provide notice of any material changes to the Terms.
